General Terms and Conditions of Sale

1. PRECONDITIONS FOR INITIATING THE SALES PROCEDURE

This document (along with all documents referenced herein and also available on the website) defines the terms and conditions governing the sale of products and the provision of services (hereinafter referred to as the “General Terms and Conditions of Sale”) via the website www.mft-dev.eu (hereinafter the “Website” or the “Web Page”). When placing an order on the Website, the Buyer agrees to be bound by these General Terms and Conditions of Sale, the Website Terms of Use, as well as our Privacy and Cookie Policy (collectively referred to as the “Terms and Policies”). If the Buyer does not accept all these Terms and Policies, they must refrain from making any purchases on this Web Page. It is explicitly stated that the Terms and Policies have been drafted by MFT Dev, S.L. in accordance with applicable regulations, notably:

European Regulation 679/2016 on personal data protection,
Organic Law 3/2018, of December 5, on personal data protection and digital rights guarantees,
Andorran Law 29/2021, of October 28,

Law 7/1998, of April 13, on General Contract Conditions,
Any other applicable legislation. The Terms and Policies may be modified at any time. It is the Buyer’s responsibility to review them regularly, particularly before each product or service purchase. The Terms and Policies in effect at the time of using the Website or concluding the Agreement (as defined below) shall apply to the Agreement. The Terms and Policies were originally drafted in Spanish, and the Buyer agrees that the Spanish version prevails over any other version in a different language.

2. IDENTIFICATION DETAILS

MFT Dev, S.L., whose registered office is located at C/ Callaueta, 7, 1a, AD500 – Andorra la Vella (Principality of Andorra), with tax number L-719990-R, email: contact@mft-dev.eu, is the owner of the Website and the provider of services and seller of products offered via this Website. This includes services for Andorran citizens as well as sales outside the European Union. Hereinafter, MFT Dev, S.L. is referred to as the “Company.”
The Buyer, any person purchasing products or services offered on the Website. The relationships between the parties will be exclusively governed by these General Terms and Conditions of Sale, accessible on the Website and which must be accepted by the client before proceeding with any purchase. If the Company modifies these Conditions, the applicable terms for each Buyer will be those accepted at the time of purchase.

3. PURPOSE OF THE CONTRACT

The Company offers, via the Website of the Parent Company:

The sale of a wide range of equipment related to electronic vehicle modification, as listed in the product descriptions available on the Website.
A service for modifying computer files for vehicles, accessible to Buyers upon registration on the website. These terms are intended to govern the commercial relationships between the Company and Buyers via the Website.

4. PURCHASE REQUEST / ONLINE RESERVATION

The Buyer declares they are of legal age and have the legal capacity to make purchases on the Website. They agree to comply with these General Terms and Conditions of Sale. Online purchases are available for delivery addresses within European Union countries and certain European non-EU countries. For other destinations, the Buyer must contact customer service before finalizing any order. If delivery to these locations is not possible, the amount paid will be refunded. The detailed procedure for placing an order or making a reservation is explained in the complete document.

5. EXCHANGE, REFUND, AND WARRANTY POLICY (CONTINUED)

Products offered on the Website are original items provided by brands and come with applicable legal warranties. However, defects or damages caused by misuse or improper handling of the item after purchase, as well as normal wear and tear, are not covered by the warranty.

Warranty exclusions:
- Damages due to misuse or improper handling.
- Products with reduced functionality due to inadequate use. To exercise warranty rights, the Buyer must contact customer service at: contact@mft-dev.eu. After verifying the manufacturing defect and following the manufacturer’s instructions, the Company will offer a refund or replacement. Transportation costs will only be refunded if the warranty is accepted.
Return or exchange conditions:
- Products must be returned in their original condition, unused, with intact packaging and original labels.
- Return shipping costs are borne by the Buyer, except in cases of shipping errors, damaged, or non-compliant products. The Buyer has 14 calendar days to exercise their right of withdrawal from the date of product receipt. Once the return form is received, the Company will provide instructions for the return. Refunds will be issued within 14 days of receiving and verifying the returned product.

6. PRODUCTS

The products and services offered on the Website include:

The sale of various equipment related to electronic vehicle modification and diagnostics.
The sale of computer files for vehicle modification and repair. All products are subject to availability. In case of unavailability, the Company will contact the Buyer to propose a delivery delay or a refund.
Order cancellation: If an order has not yet left the Company’s warehouses, the Buyer can cancel it by contacting: contact@mft-dev.eu. Once the order is in transit, only a return request can be made in accordance with Section 5.

7. PRICES

The prices displayed on the Website include the General Indirect Tax (IGI) for the Principality of Andorra. For other destinations, prices are shown excluding taxes, and the Buyer will be responsible for any applicable customs duties or taxes upon delivery.

Shipping fees are calculated based on the weight, dimensions of the products, and the delivery address. These fees will be clearly displayed in the order summary before finalizing the purchase.
The Company reserves the right to modify prices at any time. In case of a typographical error on a price, the Company will contact the Buyer to cancel or correct the order without incurring any costs for the Buyer.

8. PRODUCT AVAILABILITY AND CUSTOMER SERVICE

The Company is committed to informing the Buyer of product availability at the time of order. In the event of total or partial unavailability after confirmation, the Buyer will be refunded the amounts paid.

9. RESPONSIBILITIES

The Company ensures that product information is reliable and accurate. However:

In the case of a typographical or technical error affecting a product or its price, the Company will cancel or correct the order at no cost to the Buyer.
The Company is not responsible for damages caused by the use of the Internet, such as viruses or hacking.
In the event of force majeure (strikes, pandemics, natural disasters), the Company cannot be held responsible for delays or delivery impossibilities.

The Company shall not be held liable for any limitation, suspension or modification of access to software, platforms, connected services or functionalities depending on third-party providers or specific technical contractual relationships.

10. SALE OF COMPUTER FILES FOR VEHICLES

MFT Dev, S.L. specializes in software modifications for engines, converting gasoline engines to bioethanol E85, electronic diagnostics, selling automotive parts, and more generally, modifying and repairing electronic vehicle systems. Services provided by MFT Dev, S.L. are based on specific knowledge, techniques, methods, and tools developed over the years. MFT Dev, S.L. explicitly warns the Buyer that some services, particularly those involving the modification or removal of anti-pollution systems, may be partially or entirely prohibited in the Buyer’s jurisdiction. It is the Buyer’s responsibility to remain informed about applicable legislation and to assume full responsibility for non-compliance.

General conditions:
1. The Buyer agrees not to modify or alter in any way the engine/gearbox electronic files provided by MFT Dev, S.L.
2. The Buyer must have qualified personnel trained in reprogramming.
3. The Buyer must promptly inform MFT Dev, S.L. of any issues or difficulties encountered with the electronic engine software.
4. The Buyer is strictly prohibited from disclosing technical, legal, administrative, or commercial information related to the software modifications.
5. The Buyer must stay informed about and comply with the laws, regulations, prohibitions, or other legal texts in their jurisdiction relating to vehicle modifications performed using the Company’s services.
Confidentiality: All oral or written information of a technical, scientific, industrial, commercial, or financial nature, as well as any documents, plans, specifications, drawings, prototypes, processes, or other elements relating to the services provided by MFT Dev, S.L., must remain strictly confidential. This obligation applies throughout the partnership and for five years after its termination, regardless of cause or timing.

Master / Slave Tools and Software Dependency

Certain electronic programming tools, equipment or software solutions marketed, configured or used within the framework of MFT Dev, S.L. services may operate under a “Master / Slave” architecture or equivalent structure, implying technical, software, commercial or contractual dependency towards a Master account operated by MFT Dev, S.L. or its partners.

The purchase of hardware by the Buyer does not automatically grant any right:

to software autonomy of the tool,
to transfer it to another Master account,
to its technical or commercial release,
nor to the continuity of associated services.

Any request for configuration modification, release, transfer or dissociation may be refused, suspended or conditioned, particularly in cases involving:

compliance with ongoing contractual commitments,
settlement of financial or commercial obligations,
technical or contractual constraints imposed by manufacturers or software editors,
or the effective termination of the business relationship.

The Buyer acknowledges that software, licenses, server access, associated services and technical infrastructures remain exclusively under the control of the respective suppliers or partners and do not constitute transferable ownership elements together with the hardware.

MFT Dev, S.L. shall not be held liable for any technical, commercial or financial consequences resulting from such architecture or from the evolution of contractual relationships between the parties.

11. WEBSITE ACCESS LICENSE

The Company grants a limited license to access the Website for browsing products and making purchases. Any reproduction, modification, or commercial use of the content is strictly prohibited without authorization.

12. PERSONAL DATA PROTECTION

In compliance with the GDPR (General Data Protection Regulation) and Andorran Law 29/2021, personal data collected will be used for:

Identifying the Buyer.
Processing orders and shipments.
Providing after-sales service. Data will only be retained for as long as necessary and will only be shared with services essential to order processing. The Buyer can exercise their rights to access, rectify, or delete their data by contacting:

13. DISPUTE RESOLUTION

14. APPLICABLE LAW AND JURISDICTION

MFT Dev, S.L.: Andorran law applies. Disputes will be submitted to the courts of Andorra la Vella. The Buyer may submit a complaint by contacting the Company at the postal or email address indicated in the “Contact” section. The Company commits to seeking an amicable resolution to the conflict.
Specific technical commercial relationships, particularly those involving software services, platform access or professional technical configurations, shall be exclusively governed by Andorran law and fall under the jurisdiction of the courts of Andorra la Vella.
